  • Commercial Register No. 532235
  • Registered address: Kuwait

"Fleetech", "we", "us" and "our" refer to the above company. "You", "your" and "Client" refer to the company subscribing to the Service.

2. Definitions

  • Service — the Fleetech web platform, the driver mobile applications, and related support.
  • Client — the company that subscribes to the Service.
  • Authorised User — an individual the Client permits to access the platform (owner, supervisor, HR, accountant, or a custom role).
  • Driver — an individual whose records the Client maintains within the Service. Drivers are not parties to these Terms.
  • Client Data — all data the Client or its Authorised Users upload to or generate within the Service, including Driver records.
  • Quotation — the signed price quotation or order form specifying the Client's plan, price and term.

3. The Service

3.1 What is included

Fleetech is a fleet operations platform for delivery companies. The subscription provides access to the modules specified in the Client's Quotation, which may include: Overview, Drivers, Orders, Attendance, Cash Sales, Company Insights, Imports, Documents, Payroll, Assets, Settings, and the driver mobile applications.

Supported delivery platforms are Talabat, Jahez and Keeta. Cash reconciliation currently covers Jahez and Talabat only.

3.2 What is not included

Unless expressly stated in the Quotation, the Service does not include: custom development; data migration from other systems; GPS hardware or vehicle tracking devices; real-time vehicle location tracking; route optimization; integration with delivery platforms not listed above; on-site training beyond the initial session; or data entry on the Client's behalf.

3.3 Future features

We may describe planned features in marketing material or in conversation. No planned feature forms part of this agreement unless it is named in the Client's signed Quotation. We give no commitment as to whether or when any planned feature will be released.

4. Accounts and users

4.1 Eligibility

The Service is provided to businesses only. The person accepting these Terms must be at least 18 years of age and authorised to bind the Client.

4.2 Authorised Users

The Client is responsible for all activity under its account, for the accuracy of the information provided, for maintaining the confidentiality of credentials, and for promptly removing access for individuals who leave its employment. Credentials may not be shared.

4.3 Notification

The Client must notify us without delay of any unauthorised access.

5. Term, renewal and cancellation

5.1 Term

The subscription term is stated in the Client's Quotation and begins on the activation date specified there.

5.2 Automatic renewal

Automatic renewal is the default. Unless the Client's Quotation states otherwise, the subscription renews automatically at the end of each term for a further term of the same length.

Either party may prevent renewal by giving written notice within the notice period stated in the Quotation.

5.3 Price changes at renewal

We may change pricing for a renewal term by giving the Client written notice at least 60 days before the renewal date.

5.4 Promotions and free periods

Any free period, promotional month or subscription discount applies only where it is expressly stated in the Client's Quotation and is subject to the conditions stated there.

5.5 Early termination by the Client

The financial consequences of early termination, including any agreed early termination charge and the treatment of prepaid fees, are stated in the Client's Quotation or other signed commercial agreement.

6. Fees and payment

6.1 Pricing

The pricing basis, subscription tier, included quantity, minimum commitment and any usage-based charges are stated in the Client's Quotation.

6.2 Changes in driver numbers

Where fees depend on the number of Drivers, users or another usage measure, the applicable counting method, minimum tier and treatment of increases or decreases are stated in the Client's Quotation.

6.3 Payment

The billing frequency, payment schedule, currency, due date and accepted payment methods are stated in the Client's Quotation.

6.4 Taxes

No value added tax or sales tax applies in Kuwait at the date of these Terms, and fees are quoted and invoiced without tax. Where any tax becomes applicable to the Service in future, it will be added to invoices from the date it takes effect.

6.5 Late payment

If an invoice is not paid by its due date, we may restrict the Client's access to the Service — including by placing the account in read-only mode, under which the Client may view and export its Client Data but may not add or edit records — and may subsequently suspend access entirely.

The applicable grace period, the timing of read-only mode and suspension, and the period for which Client Data is retained following suspension are stated in the Client's Quotation.

We will give the Client notice before restricting access, except where immediate action is required by law or to address a security risk.

7. Client Data — ownership and roles

7.1 Ownership

Client Data remains the property of the Client.

7.2 Our role

For Client Data, the Client is the data controller and Fleetech acts as data processor, processing only on the Client's documented instructions and as necessary to provide the Service. For account registration and billing data, Fleetech acts as controller.

7.3 Driver personal data — the Client's responsibility

The Service stores personal data belonging to the Client's Drivers, including civil identification documents, driving licences, vehicle details, attendance records and payroll information. Drivers are not parties to these Terms.

The Client represents and warrants that it has obtained all consents and authorisations required to upload and process its Drivers' personal data through a third-party platform, and that it has informed its Drivers accordingly. The Client indemnifies Fleetech against claims arising from a failure to do so.

7.4 Security

We apply appropriate technical and organisational measures designed to protect Client Data against unauthorised access, alteration, disclosure, loss or destruction. These measures include access control by role and by branch, and restricted internal access on a need-to-know basis.

7.5 Breach notification

We will notify the Client without undue delay on becoming aware of a personal data breach affecting its Client Data.

8. Aggregated and anonymised data

We may generate aggregated and anonymised data derived from use of the Service, and may use it to operate, improve and develop the Service and to produce market, benchmarking and industry insights, provided that no Client, Driver or individual is identifiable and no Client Data is disclosed.

9. Acceptable use

The Client will use the Service lawfully and will not: upload malicious code; attempt unauthorised access to our systems or another client's data; interfere with the operation of the Service; reverse engineer, decompile or disassemble the platform; resell or provide access to third parties without our written consent; or use the Service to store data unrelated to its fleet operations.

10. Intellectual property

The platform, its software, design, documentation and trademarks are and remain our property. The Client receives a non-exclusive, non-transferable, revocable right to use the Service during the term, for its own internal business purposes only.

11. Confidentiality

Each party will keep the other's confidential information confidential and use it only for the purposes of this agreement. This obligation survives termination.

12. Availability, maintenance and support

12.1 Availability

We will use reasonable efforts to keep the Service available. We do not guarantee uninterrupted availability and give no uptime commitment.

12.2 Maintenance

We may perform scheduled maintenance, and will give advance notice where reasonably practicable.

12.3 Support

Support is available Sunday to Thursday, 09:00 to 18:00 Kuwait time, excluding public holidays, through the channels stated in the Quotation.

Target response times are for first response, not resolution:

  • Service unavailable, or payroll or cash figures incorrect: same working day
  • Feature not working where a workaround exists: 2 working days
  • Questions and change requests: 5 working days

We do not guarantee a response outside these hours.

13. Suspension and termination

13.1 By the Client

The Client may end the subscription by giving written notice of non-renewal under section 5.2, or by terminating early on the terms stated in its Quotation. Section 5.5 applies to early termination.

13.2 By us, for cause

We may suspend or terminate where the Client materially breaches these Terms — including non-payment under section 6.5 — and, where the breach is capable of remedy, fails to remedy it within 14 days of written notice.

13.3 Immediate suspension

We may suspend immediately where continued access presents a security risk, or where required by law. We will notify the Client and restore access once the cause is resolved.

14. Effect of termination — data export and deletion

On termination or expiry, the Client may request an export of its Client Data in a standard format (Excel or CSV) within 30 days. Client Data may be retained for a reasonable period following termination and may thereafter be permanently deleted.

15. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care. Beyond that, and to the extent permitted by law, the Service is provided as is, without further warranty.

16. Limitation of liability

16.1 Cap

Our total aggregate liability arising out of or in connection with this agreement is limited to the fees paid by the Client in the 12 months preceding the event giving rise to the claim.

16.2 Exclusions

We are not liable for indirect or consequential loss, loss of profit, loss of business, or loss of goodwill.

16.3 Data supplied by others

We are not liable for losses arising from inaccurate data supplied by the Client, or from changes to, errors in, or unavailability of export files produced by delivery platforms. Where such an issue affects the Service, we will correct the Service; we do not assume liability for the underlying commercial consequence.

16.4 Nothing excluded that cannot be

Nothing in this agreement excludes liability that cannot be excluded under Kuwaiti law.

17. Indemnity

The Client indemnifies us against claims arising from its use of the Service in breach of these Terms, and from its failure to obtain the Driver consents described in section 7.3.

18. Force majeure

Neither party is liable for failure to perform due to events beyond its reasonable control, including failures of third-party hosting providers, payment gateways, internet infrastructure, or delivery platform systems.

19. Notices

Notices must be in writing and sent to the email addresses stated in the Quotation. A notice sent by email is deemed received 24 hours after sending, unless a delivery failure notification is received. Either party may change its notice address by written notice.

20. Changes to these Terms

We may update these Terms. We will give at least 30 days notice of material changes by email and within the platform.

Changes apply to an existing subscription from its next renewal date. Continued use after a change takes effect constitutes acceptance.

21. Assignment

The Client may not assign this agreement without our written consent, which will not be unreasonably withheld. We may assign in connection with a merger, acquisition or sale of assets.

22. Entire agreement

The Quotation, these Terms and the Privacy Policy form the entire agreement. Where the Quotation conflicts with these Terms, the Quotation prevails.

23. Severability

If any provision is held invalid, the remainder continues in force.

24. Governing law and jurisdiction

These Terms are governed by the laws of the State of Kuwait. The courts of Kuwait have exclusive jurisdiction.
